1. Acceptance of Terms

By installing, accessing, or using Shopilaw ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("Merchant", "you", or "your") and Tran Consulting UG (haftungsbeschränkt), operating as Shopilaw ("we", "us", or "our").

2. Description of Service

Shopilaw is a Shopify application that provides an EU-compliant withdrawal button (Widerrufsbutton) for online stores, as required by EU Directive 2023/2673. The Service includes:

  • A withdrawal button for customer accounts and order status pages
  • A structured withdrawal form with order selection
  • Two-step confirmation process as required by EU law
  • Automatic confirmation emails to customers and merchants
  • A merchant dashboard for managing and tracking withdrawals

3. Account and Access

3.1 Shopify Account Required

You must have an active Shopify store to use the Service. By installing our app, you authorize us to access your Shopify store data as described in our Privacy Policy.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the security of your Shopify account
  • All activities that occur through your use of the Service
  • Ensuring compliance with Shopify's terms of service

3.3 Invite-Only Access

Access to the Service is currently invite-only. We reserve the right to approve or deny access at our sole discretion.

4. Acceptable Use

You agree NOT to use the Service to:

  • Submit fraudulent or fabricated withdrawal requests
  • Misuse the withdrawal process to harass or defraud customers or merchants
  • Circumvent or attempt to circumvent usage limits or security measures
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or redistribute the Service without authorization
  • Use automated tools to access the Service beyond normal usage
  • Interfere with or disrupt the Service or its infrastructure

Violation of these terms may result in immediate termination of your access without refund.

5. Withdrawal Data

5.1 Data Ownership

All withdrawal data processed through the Service belongs to you. This includes withdrawal requests, confirmation records, and customer communication logs.

5.2 License to Shopilaw

You grant us a limited license to use withdrawal data for:

  • Providing and improving the Service
  • Processing and delivering withdrawal confirmations
  • Technical support and debugging

5.3 Data Processing Responsibilities

You are responsible for ensuring your use of the withdrawal button complies with applicable EU consumer protection laws. While Shopilaw facilitates the technical process, you remain responsible for fulfilling withdrawal requests in accordance with the law.

5.4 No Legal Guarantee

We do not guarantee full legal compliance. While the Service implements the requirements of EU Directive 2023/2673, applicable laws may vary by jurisdiction and change over time. We recommend consulting legal counsel for your specific situation.

6. Billing and Payment

6.1 Shopify Billing

All payments are processed through Shopify's billing system. By subscribing to a paid plan, you authorize Shopify to charge your payment method on file.

6.2 Subscription Plans

We offer Free, Pro, and Business subscription plans with different feature levels. Current pricing and features are displayed in the app and on our website.

6.3 Billing Cycle

Subscriptions are billed monthly. Billing cycles begin on the date of subscription and renew automatically.

6.4 Feature Limits

Each plan includes a specific set of features. Higher-tier plans unlock additional capabilities such as partial withdrawals, CSV/PDF export, and multilingual support.

6.5 Refunds

Refunds are handled according to Shopify's refund policies for app subscriptions. We may offer refunds at our discretion for service issues.

6.6 Price Changes

We may modify pricing with 30 days' notice. Existing subscribers will be notified before any price changes affect their subscription.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, algorithms, user interface, and documentation, is protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

7.2 Trademarks

"Shopilaw" and our logos are trademarks. You may not use our trademarks without prior written consent.

7.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

8. Third-Party Services

The Service integrates with third-party services including Shopify, email delivery providers, and hosting services. Your use of these services is subject to their respective terms and policies. We are not responsible for third-party service availability or changes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties regarding full legal compliance in your jurisdiction
  • Warranties regarding specific business or legal outcomes

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPILAW SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from use or inability to use the Service
  • Damages from third-party actions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Shopilaw, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Withdrawal processes handled through the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store.

12.2 By Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Engage in fraudulent or abusive behavior
  • Fail to pay subscription fees

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • Your data will be deleted according to our Privacy Policy
  • Withdrawal records already processed remain accessible in your Shopify admin
  • No refunds will be issued for partial billing periods

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of Germany. Any disputes shall be resolved through binding arbitration or in the courts of Germany, except where prohibited by law.

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and us.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive future enforcement.
  • Assignment: You may not assign your rights without our consent. We may assign our rights freely.
